This file organises the formation of a wholly foreign-owned Mexican operating subsidiary for the Marea Digital group. The proposed entity is a Sociedad de Responsabilidad Limitada de Capital Variable (S. de R.L. de C.V.) in Mexico City, with roughly six initial staff and 100% foreign ownership. The quotas (partes sociales) are proposed to be held by Marea Digital, Inc. (Delaware) as majority quota-holder and Marea Digital, S.L. (Madrid) as a nominal second quota-holder, because the Ley General de Sociedades Mercantiles (LGSM) contemplates at least two socios at formation. The US parent continues to own the group IP and to operate the central data platform, which the Mexican subsidiary will access under an intercompany licence and services arrangement — a point flagged below for transfer-pricing and RNIE reporting.
The file proceeds in the order the work actually happens: pick the vehicle, clear the name, draft the constitutive instrument and organisational resolutions, execute before a fedatario público, register, obtain tax and digital-signature credentials, register as an employer, and then complete the foreign-investment (RNIE) analysis and set up periodic reporting. The strong exhibit at the end converts the Ley de Inversión Extranjera (LIE) and RNIE rules into a numbered intake questionnaire. 1. Entity-selection memorandum — S.A. de C.V. vs S. de R.L. de C.V.
Both the Sociedad Anónima de Capital Variable (S.A. de C.V.) and the Sociedad de Responsabilidad Limitada de Capital Variable (S. de R.L. de C.V.) are limited-liability vehicles under the LGSM and both are open to 100% foreign ownership for an unrestricted activity. The differences that matter to Marea Digital are ownership representation, member count, transfer formality, and — decisively here — US federal tax classification of the entity by the Delaware parent.

Recommendation. Form an S. de R.L. de C.V. The 50-partner ceiling is irrelevant for a two-quota-holder wholly-owned subsidiary; the closed transfer regime suits an intragroup vehicle that should not change hands without parent consent; the absence of a mandatory comisario reduces recurring governance cost; and, most importantly, the S. de R.L. is an eligible entity for US check-the-box purposes, so the Delaware parent can elect disregarded-entity treatment and consolidate the Mexican results without a separate US-side corporate layer.
Flag for US tax counsel. The check-the-box election is a US federal tax decision, not a Mexican corporate one. Confirm (i) whether disregarded or flow-through treatment is optimal given the group's structure, (ii) the effective date and the timing of Form 8832 relative to the Mexican formation date, and (iii) interaction with GILTI/Subpart F, foreign-tax-credit and transfer-pricing consequences of the intercompany IP licence and data-platform services. Mexican tax treatment of the entity is unaffected by the US election. Do not finalise the election date until US tax counsel confirms.
2. Name-authorization checklist — Secretaría de Economía
The denominación social is authorised through the Secretaría de Economía's Módulo Único de Autorización de Uso de Denominaciones, the electronic "Un Día Un Trámite" process. The authorisation reserves the name and must be used to constitute the company within the statutory period.
- Prepare a ranked list of candidate denominations (e.g. Marea Digital México, plus fallbacks) — the module checks against existing reservations and grants the first available.
- Obtain access with the requesting party's e.firma (SAT advanced electronic signature) or authorised-user credentials for the module.
- Submit the request electronically; the reserved denomination must be followed by the entity type — here "S. de R.L. de C.V."
- Receive the Autorización de Uso de Denominación with its unique authorisation number (NUA).
- Deliver the authorisation to the notario / corredor público; the fedatario público must record its number in the constitutive deed.
- Diarise the use-period deadline — the authorisation must be perfected into a constituted company and notified back to the Secretaría within the statutory window, or it lapses and must be re-requested.
3. DRAFT — Estatutos Sociales / Operating Provisions [TEMPLATE]
Draft for discussion. Clause numbering and thresholds to be confirmed by Mexican counsel and tailored by the fedatario público to the executed deed. Bracketed items are variables.
Cláusula Primera — Denominación. The company is named [Marea Digital México], followed in all cases by the words "Sociedad de Responsabilidad Limitada de Capital Variable" or the abbreviation "S. de R.L. de C.V.", per the authorisation issued by the Secretaría de Economía under number [NUA].
Cláusula Segunda — Objeto Social. The corporate purpose (objeto social) includes, without limitation: the development, licensing, commercialisation, integration, support and resale of business-to-business software-as-a-service and related data-platform services; the provision of technical, professional, administrative and marketing services to affiliates and third parties; the acquisition, licensing and exploitation of intellectual-property rights, including under intercompany licence from the group parent; and any lawful act related to the foregoing. [Confirm the described activities are unrestricted under the LIE — see Exhibit A.]
Cláusula Tercera — Domicilio. The corporate domicile is Mexico City, without prejudice to establishing branches, agencies or offices elsewhere and to agreeing conventional domiciles for specific acts.
Cláusula Cuarta — Duración. The company's duration is indefinite (duración indefinida).
Cláusula Quinta — Cláusula de Admisión de Extranjeros (Cláusula Calvo). The company admits foreign investors. In accordance with the Ley de Inversión Extranjera and the Reglamento of the Registro Nacional de Inversiones Extranjeras, foreign socios expressly agree before the Secretaría de Relaciones Exteriores to be considered as nationals with respect to the partes sociales they acquire or hold, the assets, rights, concessions, participations or interests owned by the company, and the rights and obligations derived from agreements to which the company is a party, and not to invoke the protection of their governments in respect thereof, under penalty, in case of breach, of forfeiting such interests to the benefit of the Nation. [Admission clause; alternative "exclusion" clauses are not used where foreign ownership is intended. Foreign-Relations permit / notice requirements to be confirmed by counsel.]
Cláusula Sexta — Capital Social (Capital Variable). The company is of variable capital. The fixed minimum capital (capital fijo mínimo sin derecho a retiro) is $[amount] MXN, and the variable portion is unlimited. The capital is represented by partes sociales, which are indivisible and may be of unequal value; each socio holds a single quota, the nominal value of which increases or decreases with contributions or reductions. Increases and reductions of the variable portion do not require a formal amendment of the bylaws but must be recorded in the libro de registro de socios and, where applicable, notified for RNIE purposes.
Cláusula Séptima — Socios y Transmisión de Partes Sociales. The number of socios shall not exceed fifty (50). Transfer of partes sociales and admission of new socios require the consent of the socios representing the majority of the capital, unless a higher majority is agreed; the remaining socios have a right of first refusal (derecho del tanto) on the terms of the LGSM. Every transfer must be entered in the libro de registro de socios to be effective vis-à-vis the company and third parties.
Cláusula Octava — Asamblea de Socios. The asamblea de socios is the supreme body. It resolves on approval of financial statements, application of results, appointment and removal of managers, amendments to the bylaws, capital changes to the fixed portion, and the other matters reserved by the LGSM. Ordinary and extraordinary quorums and majorities are those set out in the LGSM unless raised herein. Resolutions may be adopted unanimously in writing without a meeting where the bylaws so permit and all socios express their vote.
Cláusula Novena — Administración / Gerencia. Management is entrusted to a Gerente Único or to a Consejo de Gerentes, as the asamblea determines. Managers need not be socios. The gerencia has the broadest powers for the administration and representation of the company, including powers for actos de administración and pleitos y cobranzas, and, where expressly granted, actos de dominio, subject to the limitations reserved to the asamblea. Managers may grant and revoke powers of attorney within the scope of their authority.
Cláusula Décima — Comisario / Vigilancia. Being an S. de R.L., no comisario is required; the socios may, if they wish, appoint an órgano de vigilancia or an interventor.
Cláusula Décima Primera — Ejercicio Social, Estados Financieros y Reservas. The fiscal year runs from 1 January to 31 December. Annual financial statements shall be prepared and submitted to the asamblea. A legal reserve (reserva legal) shall be constituted by separating the percentage of net profits required by the LGSM until it reaches the statutory fraction of the capital. [Confirm percentages with counsel; tax treatment flagged for the tax adviser.]
Cláusula Décima Segunda — Disolución y Liquidación. The company dissolves in the cases foreseen by the LGSM; liquidation is carried out by one or more liquidadores appointed by the asamblea, who realise assets, pay liabilities and distribute the remainder among the socios in proportion to their partes sociales.
4. DRAFT — Unanimous Organizational Consent of the Quota-Holders [TEMPLATE]
Draft written resolution of the founding socios, adopted unanimously in lieu of a constitutive meeting; to be reflected in the constitutive public deed.
The undersigned, being all of the founding socios of [Marea Digital México], S. de R.L. de C.V. (in formation) — Marea Digital, Inc. (Delaware) and Marea Digital, S.L. (Madrid) — unanimously RESOLVE:
- Constitution. To constitute the company as a Sociedad de Responsabilidad Limitada de Capital Variable under the LGSM, adopting the estatutos sociales in Section 3 above.
- Denomination. To adopt the denomination authorised by the Secretaría de Economía under authorisation number [NUA].
- Capital and subscription. To fix the fixed minimum capital at $[amount] MXN and to subscribe and pay the partes sociales as follows: Marea Digital, Inc. — quota of $[amount] ([xx]%); Marea Digital, S.L. — quota of $[amount] ([xx]%). [Confirm payment/contribution evidence for the deed and RNIE.]
- Foreign-investment admission. To adopt the Cláusula de Admisión de Extranjeros (Calvo clause) in Clause Fifth and to authorise the corresponding filings before the Secretaría de Relaciones Exteriores and the RNIE.
- Management. To appoint the gerencia in the form set out in Section 5 below.
- Powers of attorney. To grant the powers of attorney set out in Section 6 below.
- Formation authority. To authorise the appearing persons and delegates to appear before a notario or corredor público to formalise this constitution and to carry out the registrations before the Registro Público de Comercio, the SAT (RFC and e.firma), the RNIE, the IMSS/INFONAVIT and any other authority.
5. DRAFT — Manager Appointment (Gerencia) [TEMPLATE]
Choose one structure. Include acceptance and, if applicable, bond/guarantee waiver.
Option A — Gerente Único. The socios appoint [Name] as Gerente Único, with the powers set out in Clause Ninth of the estatutos, to hold office [indefinitely / for [term]] until removed or replaced by the asamblea.
Option B — Consejo de Gerentes. The socios appoint a Consejo de Gerentes composed of [n] members: [Names / positions], and designate [Name] as [Presidente / Gerente General]. The consejo acts by [majority] and may delegate powers.
Acceptance. The appointee(s) accept the office, declare no legal impediment, and are relieved from posting a bond (garantía) to the extent permitted. [Confirm whether the socios require a guarantee.]
Note: at least one person with authority should hold a Mexican RFC and e.firma to enable SAT and registry steps; consider a resident legal representative for practical purposes. Confirm with counsel.]
6. DRAFT — Powers of Attorney (Poderes) [TEMPLATE]
Mexican powers are typically graded by act-type. Grant only what each attorney-in-fact needs, and record the grant in the deed and (for general powers) in the Registro Público de Comercio.
- Poder para actos de administración. General power for acts of administration — to manage the business, contract and deal with authorities, employees, suppliers and clients, in the terms of the second paragraph of the applicable civil-code power article. [Scope and any monetary caps to be set.]
- Poder para pleitos y cobranzas. General power for litigation and collections — to represent the company before judicial, administrative and labour authorities, file and answer claims, collect, and take procedural steps, including (where expressly stated) absolving and articulating positions and desisting from amparo. [Specify any special-clause faculties required.]
- Poder para actos de dominio. General power for acts of ownership — to acquire, encumber and dispose of the company's assets. Grant narrowly and to trusted persons only; consider limiting by amount, asset class, or requiring joint signatures. [Real-property acquisition is separately screened — see Exhibit A on the restricted zone.]
- Special / limited powers (as needed): banking and negotiable-instrument powers (títulos de crédito); labour-representation power for IMSS/INFONAVIT and before the labour authorities; tax/e.firma delegations for SAT filings. [Grant discrete special powers rather than broadening the general ones.]
Revocation and substitution: state whether each attorney-in-fact may substitute or delegate the power, and preserve the company's right to revoke at any time. Register general powers so third parties are on notice.]
7. DRAFT — Libro de Registro de Socios (Ownership Ledger) [TEMPLATE]
The S. de R.L. keeps a special register of socios (partes sociales). Entry in this book — not any certificate — governs who is a socio vis-à-vis the company. Keep it current on every capital change or transfer.

Maintain alongside the other corporate books (asambleas / actas). Each change here is also the trigger to check RNIE notice obligations (Section 12) and the controlling-beneficiary records the SAT requires.
8. Public-deed execution checklist — before notario / corredor público
- Select the fedatario público — a notario público or, for purely mercantile constitution, a corredor público.
- Provide the Autorización de Uso de Denominación (NUA) from the Secretaría de Economía.
- Provide identity, capacity and existence evidence for each socio: for the foreign entities, legalised/apostilled and translated constitutive documents, good-standing evidence, and board/authority resolutions authorising the investment and the appearance.
- Provide powers of attorney for the persons appearing on behalf of the foreign socios (apostilled + officially translated by perito traductor).
- Confirm the estatutos (Section 3), including the objeto social, capital variable structure, and the Cláusula de Admisión de Extranjeros.
- Confirm capital subscription/payment evidence and the value of each parte social.
- Include the organisational resolutions: gerencia appointment (Section 5) and powers of attorney (Section 6).
- Confirm domicile (Mexico City) and any conventional domiciles.
- Execute the escritura constitutiva; obtain certified copies for registry, SAT, banking and the corporate book.
- Confirm the fedatario público will (or the company will) proceed to the Registro Público de Comercio (Section 9) and can assist with SAT pre-registration.
9. Public Registry of Commerce filing checklist — Registro Público de Comercio
- Prepare the electronic registration through the SIGER mercantile-registry system (via the fedatario público, who typically files).
- Submit the escritura constitutiva for inscription in the Registro Público de Comercio of the entity's domicile (Mexico City).
- Obtain the boleta de inscripción / folio mercantil electrónico — the company's registry folio.
- Register the general powers of attorney and the gerencia appointment so they are enforceable against third parties.
- Keep certified registry evidence with the corporate book; it will be requested by banks, the SAT and counterparties.
- Diarise later inscriptions: bylaw amendments, fixed-capital changes, changes of gerencia or powers, and dissolution/liquidation acts.
10. RFC + e.firma setup checklist — SAT
- Obtain the company's RFC (Registro Federal de Contribuyentes) from the SAT using the escritura constitutiva and registry evidence; confirm the tax domicile and economic-activity codes.
- Obtain the company's e.firma (advanced electronic signature — certificate + key) for the entity, executed by the legal representative.
- Ensure the legal representative holds a valid personal RFC and e.firma (needed to act for the company at the SAT). [For a foreign representative this can be a lead-time item — confirm requirements early.]
- Register in the padrón for the applicable tax obligations (ISR, IVA, withholdings) — flag for the tax adviser.
- Obtain the Certificado de Sello Digital (CSD) to issue electronic invoices (CFDI).
- Enrol in the SAT Buzón Tributario (tax mailbox) and register outbound e-invoicing and payroll-CFDI capability before hiring.
- Record the controlling-beneficiary information the SAT requires companies to keep and update.
11. Employer & social-security registration checklist — IMSS, INFONAVIT, payroll tax, REPSE
- Register the company as an employer with the IMSS (obtain the Registro Patronal) and determine the occupational-risk class/premium (prima de riesgo de trabajo).
- Register with INFONAVIT (housing fund) — administered through the IMSS employer registration and SUA contribution system.
- Register for the applicable state payroll tax (Impuesto Sobre Nómina) — for Mexico City, before the local tax authority; rate is local — flag for the tax adviser.
- Set up payroll CFDI de nómina issuance and withholding (ISR on wages; IMSS/INFONAVIT contributions).
- Enrol employees in IMSS on hire; keep contribution filings (SUA/IDSE) current.
- REPSE issue-spot (2021 outsourcing reform). The 2021 reform banned the outsourcing of a company's core/preponderant activities and permits only the provision of specialised services not forming part of the beneficiary's corporate purpose or main economic activity, which the provider must register in the SAT/STPS REPSE registry (Registro de Prestadoras de Servicios Especializados). Action: because the Mexican entity will access the group's IP and central data platform and receive intercompany services, screen whether any inbound intercompany "services" are in substance the personnel performing the company's own core activity (prohibited outsourcing) versus genuine specialised services (permitted, but the provider must be REPSE-registered and the beneficiary must verify the registration and retain evidence for IMSS/tax deductibility and IVA crediting). Hiring the six initial staff directly into the S. de R.L. avoids the REPSE trap; any use of a staffing/service provider must be REPSE-verified. Flag intercompany services and any staffing model for the tax/labour adviser.
12. RNIE analysis — Registro Nacional de Inversiones Extranjeras
The company is 100% foreign-owned and therefore falls squarely within the Ley de Inversión Extranjera (LIE) and its Reglamento, administered by the Secretaría de Economía through the Registro Nacional de Inversiones Extranjeras (RNIE). The RNIE is a registration and information regime — it is not, for an unrestricted activity, a pre-approval. The screening questionnaire in Exhibit A is the operational front end of this analysis.
- Confirm the activity is unrestricted. Screen the objeto social and actual activities against the LIE's reserved-to-the-State activities, activities reserved to Mexicans, and the activities subject to specific foreign-ownership caps or to prior Comisión Nacional de Inversiones Extranjeras favourable resolution. B2B SaaS / IT services is ordinarily unrestricted and open to 100% foreign investment — confirm the specific activities in Exhibit A §4.
- Register the company in the RNIE. A Mexican company with foreign investment in its capital must be inscribed in the RNIE; obtain the RNIE registration number. Registration is generally required within the statutory period following the act that triggers it (e.g. constitution with foreign investment).
- Register the foreign investors' participation as recorded in the company's capital (the Delaware and Madrid quota-holders).
- Maintain the registration current. Notify the RNIE of relevant changes — changes in the corporate name, domicile, corporate purpose, capital, and in the foreign shareholding/quota structure — within the applicable periods.
- Set up the periodic economic reporting (see Section 13 decision tree).
- Keep the constitutive Calvo clause and Foreign-Relations formalities aligned with the RNIE record.
Confirm the exact filing deadlines, forms and threshold figures with Mexican counsel against the current LIE Reglamento and RNIE instructions before filing; those specific numeric thresholds are not asserted here.
13. Annual & quarterly foreign-investment reporting — decision tree
Beyond the initial inscription, RNIE-registered companies have periodic reporting obligations whose frequency depends on the size of the company's assets, liabilities, capital, income or expenditure. The tree below is the logic; the specific peso thresholds and forms must be confirmed by counsel against the current RNIE rules and are not invented here.
- Is the company inscribed in the RNIE? If no → complete Section 12 first. If yes → continue.
- Renewal of registration constancy (annual). The company must renew/refresh its RNIE registration constancy on the annual cycle set by the RNIE. Diarise annually.
- Annual economic report. Is the value of the company's relevant magnitudes (assets, liabilities, capital, income, or expenses) above the applicable RNIE threshold? If yes → file the annual economic report. If below → annual report generally not triggered, but re-test each year.
- Quarterly economic report. Do the changes in specified balance-sheet items (financing, accounts, capital movements, intercompany balances) exceed the applicable quarterly threshold during a quarter? If yes → file the quarterly report for that quarter. If below → not triggered for that quarter; re-test each quarter.
- Event-driven notices. Independently of the periodic reports, notify the RNIE of qualifying corporate changes (name, domicile, purpose, capital, foreign-participation changes) within their own deadlines — these are not excused by being under a periodic-report threshold.
- Intercompany watch. The IP licence, data-platform services fees and any intercompany financing between the Mexican entity and the US/Spanish affiliates are the items most likely to move the reporting magnitudes — track them and re-run this tree whenever they change materially. Flag transfer-pricing to the tax adviser.

A. Direct investors — identity & nationality
- List each direct holder of partes sociales: legal name, entity type, country of organisation, tax ID.
- State the nationality of each direct investor (Marea Digital, Inc. — US/Delaware; Marea Digital, S.L. — Spain).
- For each investor, provide legalised/apostilled constitutive documents and good-standing evidence.

D. Acquisition of existing quotas / shares
- Is the transaction a new formation or the acquisition of existing partes sociales / acciones in a Mexican company?

E. Branch vs Mexican subsidiary

F. Real property & the restricted zone

- Is any property in the zona restringida (within 100 km of the border or 50 km of the coastline)? I. Revenue / asset thresholds & reporting
- Record current assets, liabilities, capital, income and expenses to test against RNIE annual and quarterly thresholds (Section 13).
- State which periodic report (annual / quarterly / none this period) is triggered, or mark "[threshold to confirm]" pending counsel.
- Re-run at each period close and after any material intercompany movement.
J. Key dates triggering possible filings
- Formation date — starts RNIE inscription and RFC/e.firma clocks.
- Registry inscription date — powers/gerencia enforceable against third parties.
- First hire date — IMSS/INFONAVIT/payroll-tax obligations begin; payroll CFDI required.
